How many users are you talking about and what email client are they using? If you can get the email into pst files then importing the mail back in is no problem just exmerge it or let the users import it themselves. I assume if you are moving to exchange everyone has outlook which would be storing pop mail in pst files so that's an easy soltution.

you don't specify what Exchange server you have, I cannot give an accurate answer, but if you need to retrieve all mail from POP3 accounts, you need to use a POP3 connector on the server. Either the build in one, or a 3rd party. You do not need a fixed IP to do that part. If you are talking lots of users, you should seriously consider getting mail pushed to you instead of POP3. you can use dyndns.org to get a hostname, and with a small fee you can add the mail records to it. That, or you get a fixed IP.

seems that ur post doesn't have a specific question. so i will give u a generic solution. first install exchange server to ur organization. create mail boxes with mail addresses. and then transfer the MX record from the company u host in to ur mail server. then when setting up the account for user just use the old PST file for pop3. so the user will notice the difference. if u r talking about taking those mail to ur server and use exchange client...i think in exchange 2007 there's a command to export mail boxes to PST but to import them i will check. http://www.msexchange.org/articles_tutorials/videos/exchange-server-2007/management-administration/exporting-mailbox-data-to-a-pst-file-in-exchange-2007-sp1.html
